論我國(guó)企業(yè)法律職業(yè)制度的建構(gòu)

【摘要】:近些年來(lái),隨著我國(guó)社會(huì)經(jīng)濟(jì)的飛速發(fā)展和全球經(jīng)濟(jì)一體化趨勢(shì)的加強(qiáng),我國(guó)企業(yè)面臨的法律風(fēng)險(xiǎn)越來(lái)越大,特別是加入WTO后,我國(guó)與其他國(guó)家之間的經(jīng)濟(jì)交往日益頻繁,這對(duì)我國(guó)企業(yè)依法經(jīng)營(yíng)和依法決策提出了更高要求,企業(yè)法律職業(yè)制度正是在這種背景下應(yīng)運(yùn)而生。目前從我國(guó)的企業(yè)法律職業(yè)現(xiàn)狀來(lái)看,主要存在有兩種制度形式:一是公司律師制度;二是企業(yè)法律顧問(wèn)制度。還有一種存在形式極為普遍的制度,社會(huì)律師兼任企業(yè)法律顧問(wèn),嚴(yán)格來(lái)說(shuō),此種形式只是企業(yè)法律顧問(wèn)制度的組成部分或形式之一種。毋庸置疑,企業(yè)法律職業(yè)制度作為我國(guó)現(xiàn)代企業(yè)制度的重要組成部分,在防范和抵御法律風(fēng)險(xiǎn)方面發(fā)揮著舉足輕重的作用,已日益成為我國(guó)企業(yè)增強(qiáng)其自身競(jìng)爭(zhēng)力的重要力量。從這個(gè)角度講,我國(guó)現(xiàn)存的任何一種企業(yè)法律職業(yè)制度,無(wú)疑都具有其存在的合理性和必要性。然而,由于目前我國(guó)對(duì)企業(yè)法律職業(yè)制度缺乏系統(tǒng)的研究與理性思考、法律服務(wù)市場(chǎng)競(jìng)爭(zhēng)和管理機(jī)制不夠規(guī)范以及我國(guó)行政體制改革的不完善等原因,導(dǎo)致我國(guó)企業(yè)法律職業(yè)制度在發(fā)展的過(guò)程中,也出現(xiàn)了一些不容忽視的狀況:兩種制度并存,受不同的規(guī)章制度的約束,分別由司法行政機(jī)關(guān)和國(guó)資委來(lái)監(jiān)管,使得我國(guó)的企業(yè)法律職業(yè)制度管理十分混亂;不同的準(zhǔn)入條件,造成了兩種不同職業(yè)素養(yǎng)的企業(yè)法律服務(wù)人員,導(dǎo)致企業(yè)法律服務(wù)隊(duì)伍的發(fā)展良莠不齊,同時(shí)公司律師和企業(yè)法律顧問(wèn)面對(duì)兩種資格證書(shū)產(chǎn)生身份認(rèn)同上的障礙,企業(yè)在兩個(gè)管理部門、兩種制度規(guī)定面前也顯得無(wú)所適從。因此,規(guī)范企業(yè)法律職業(yè)制度成為相關(guān)部門目前一項(xiàng)十分迫切的任務(wù)。目前,學(xué)界和實(shí)務(wù)界雖然對(duì)企業(yè)法律職業(yè)制度的進(jìn)步和完善做出了積極而有意義的探索,但由于一系列原因,這些努力尚未引起相關(guān)主管部門的重視。 本文采用了比較和歷史考察的方法,從我國(guó)兩種企業(yè)法律職業(yè)制度并存的現(xiàn)狀出發(fā),提出我國(guó)企業(yè)法律職業(yè)制度存在的問(wèn)題:兩種準(zhǔn)入門檻,導(dǎo)致企業(yè)法律服務(wù)隊(duì)伍發(fā)展良莠不齊;兩種制度規(guī)定相互矛盾沖突,使得企業(yè)無(wú)所適從;兩個(gè)監(jiān)管部門,造成管理上的混亂。對(duì)這三大問(wèn)題的原因進(jìn)行了深刻分析,指出對(duì)企業(yè)法律職業(yè)制度缺乏系統(tǒng)的研究和合理規(guī)劃;法律服務(wù)市場(chǎng)管理不夠規(guī)范;我國(guó)政治權(quán)利的分割化是導(dǎo)致我國(guó)企業(yè)法律法律職業(yè)制度目前現(xiàn)狀的主要原因。論文通過(guò)對(duì)國(guó)外企業(yè)法律制度形成、發(fā)展及特點(diǎn)的分析,得出對(duì)重新建構(gòu)我國(guó)企業(yè)法律職業(yè)制度的幾點(diǎn)啟示,認(rèn)為我國(guó)現(xiàn)階段,在不可能明顯取消任何一種制度的情況下,由企業(yè)根據(jù)各自利益需要,自由選擇企業(yè)法律服務(wù)的設(shè)置形式,但為了我國(guó)企業(yè)法律職業(yè)度的長(zhǎng)期發(fā)展,在時(shí)機(jī)成熟時(shí),應(yīng)該實(shí)現(xiàn)兩種制度的統(tǒng)一,鑒于公司律師制度的發(fā)展在國(guó)內(nèi)已相對(duì)成熟,所以在時(shí)機(jī)成熟時(shí),應(yīng)取消企業(yè)法律顧問(wèn)制度,建立完善的公司律師制度。
[Abstract]:In recent years, with the strengthening of China's economic and social development and the trend of global economic integration, more and more legal risks faced by Chinese enterprises bigger, especially after joining the WTO, between China and other countries in economic exchanges have become increasingly frequent, the enterprises of our country according to law and business decision according to the law put forward higher requirements, enterprise legal occupation system is emerged in this context. From the current status quo of the legal occupation of the enterprises in our country, mainly in the form of two systems: one is the company lawyer system; two is the enterprise legal adviser system. There is a common form in the social system, as lawyer and corporate counsel, strictly speaking this kind of form, is the enterprise legal adviser system part of or in the form of occupation. Undoubtedly, the enterprise legal system as an important component of China's modern enterprise system, Play an important role in the prevention and protection against legal risks, has become an important force in China's enterprises to enhance their competitiveness. From this perspective, China's existing legal system of enterprise of any kind of occupation, is undoubtedly the rationality and necessity of its existence. However, due to the current of enterprise in our country the legal system of the lack of occupation and rational thinking of the legal service system, market competition and management mechanism is not standardized and the administrative system reform in our country is not perfect and other reasons, resulting in China's legal system of enterprise occupation in the process of development, there are some that can not be ignored: the coexistence of two systems by different rules and regulations the constraint, respectively, by the judicial administrative organs and the SASAC supervision, make the enterprise legal occupation management system in China is very confusing; different access conditions, resulting in two kinds of Enterprise legal service personnel of the same occupation accomplishment, led to the development of enterprise legal service team uneven in quality, at the same time, the company's lawyers and corporate counsel in the two qualification certificate of identity on the barriers, enterprises in the two management department, before the provisions of the two systems also appears at a loss. Therefore, the legal system has become a standard enterprise occupation related departments at present, it is an urgent task. At present, the academic and practical circles while making a positive and meaningful exploration on the legal system of enterprise occupation progress and improvement, but due to a series of reasons, these efforts have not yet attracted the attention the relevant authorities.
This paper adopts the method of comparison and historical study, from the current situation of the coexistence of two kinds of Chinese enterprise legal occupation system, puts forward the existing legal system of enterprise occupation in China: two kinds of barriers to entry, led to the development of enterprises uneven in quality legal service; the provisions of the two systems of mutual conflicts, make enterprises at a loss; two regulators that caused confusion in management. The reason of these three problems have been deeply analyzed, pointed out that the lack of systematic research and rational planning of enterprise legal occupation system; legal service market management is not standardized; the division of political rights is the main cause of legal occupation of enterprise of our country legal system. Through the present situation the formation of the legal system of foreign enterprises, analysis of development and characteristics, revealed on how to re construct the system of enterprise legal occupation in China, I think At present, in may cancel any a system, which requires companies according to their own interests, freedom of choice of enterprise legal services provided, but for the long-term development of China's enterprise legal occupation degree, when the time is ripe, should realize the unification of the two systems, in view of the development of corporate lawyer system in the country has been relatively mature, so when the time is ripe, we should cancel the enterprise legal adviser system, establish and perfect the system of corporation lawyer.
