【摘要】：當(dāng)前中國(guó)經(jīng)濟(jì)的發(fā)展,需要加快產(chǎn)業(yè)機(jī)構(gòu)調(diào)整和創(chuàng)新型國(guó)家建設(shè)。國(guó)家經(jīng)濟(jì)的持續(xù)發(fā)展要有大量的創(chuàng)新型企業(yè)和進(jìn)行大規(guī)模的企業(yè)兼并重組,然而當(dāng)前中國(guó)的金融市場(chǎng)的融資體制依舊存在較多的不完善之處,不能夠滿足創(chuàng)新企業(yè)以及相關(guān)企業(yè)兼并重組的融資要求,特別是創(chuàng)新型中小企業(yè)的融資難問(wèn)題比較突出。國(guó)際經(jīng)驗(yàn)表明,私募基金可以較好地解決高新技術(shù)領(lǐng)域以及中小型企業(yè)難以融資的問(wèn)題。私募基金已經(jīng)逐漸發(fā)展為一種必不可少的融資方式。然而在快速的發(fā)展過(guò)程中,由于中國(guó)資本市場(chǎng)不完善,私募基金的發(fā)展仍存在諸如:法律規(guī)章制度存在較多的缺漏,記錄留存?zhèn)浒傅臄?shù)據(jù)資料失真、資金募集的相關(guān)行為違反了法律制度、公司未采取正當(dāng)?shù)姆绞秸归_(kāi)管理、行業(yè)人才稀缺等問(wèn)題。目前,在學(xué)術(shù)界,針對(duì)私募基金的發(fā)展和風(fēng)險(xiǎn)的研究也進(jìn)入了一個(gè)熱潮。因此,加快中國(guó)私募基金又好又快的發(fā)展具有重要的意義。本文就如何健全相關(guān)法律法規(guī)體系、提高行業(yè)自律、提高風(fēng)險(xiǎn)防控能力、培養(yǎng)專業(yè)人才等方面提出相對(duì)應(yīng)的策略,為私募基金的發(fā)展提供良好的建議,促進(jìn)中國(guó)經(jīng)濟(jì)的健康、有序、快速的發(fā)展。本文首先根據(jù)經(jīng)濟(jì)發(fā)展的背景提出發(fā)展中國(guó)私募基金的必要性,對(duì)國(guó)內(nèi)外私募基金的相關(guān)研究進(jìn)行回顧,總結(jié)國(guó)內(nèi)外學(xué)者對(duì)私募基金發(fā)展的一般性研究結(jié)論,為下文論述奠定理論基礎(chǔ);其次,分析中國(guó)私募基金發(fā)展的現(xiàn)狀;再次,分析中國(guó)私募基金發(fā)展存在的問(wèn)題,主要有登記備案信息失真、不合規(guī)地籌集資金、投資運(yùn)作行為違規(guī)、公司管理不規(guī)范等;第四,分析中國(guó)私募基金發(fā)展過(guò)程中存在問(wèn)題的原因,主要有濫用登記備案信息、資金來(lái)源受限、道德風(fēng)險(xiǎn)無(wú)法規(guī)避等。最后,提出促進(jìn)中國(guó)私募基金發(fā)展的對(duì)策建議,即加快法制建設(shè)進(jìn)程,健全相關(guān)法律法規(guī);完善自律規(guī)則,提高風(fēng)險(xiǎn)防控能力;培養(yǎng)專業(yè)人才,提高行業(yè)準(zhǔn)入標(biāo)準(zhǔn);適當(dāng)減少監(jiān)管部門、自律組織的非市場(chǎng)化干預(yù)。
[Abstract]:The current development of Chinese economy, the need to speed up the construction of innovative country industrial structure adjustment and sustainable development of the national economy. There must be lots of innovative companies and large-scale corporate mergers and acquisitions, but the current China financial market financing system still exist many shortcomings, can not meet the merger and reorganization of enterprises and related business innovation the financing requirements, especially innovative SMEs financing problem. The international experience shows that private equity funds can better solve the high-tech fields of small and medium sized enterprises financing difficult problems. Private equity fund has gradually developed into an essential mode of financing. However, in the process of rapid development, the capital market Chinese not perfect, the development of private equity funds still exist such problems as: laws and regulations exist many gaps, the record number of records According to the information distortion, related behavior to raise funds in violation of the law, the company does not take proper way of management, industry problems such as the scarcity of talent. At present, in the academic circles, the research on the development of private equity funds and the risk has entered a boom. It has important significance to speed up the development of Chinese private equity fund and good. This is how to perfect the relevant laws and regulations system, improve industry self-regulation, improve risk control ability, put forward the corresponding strategy for training professional personnel, provide good suggestions for the development of private equity funds, promote the China economy healthy, orderly and rapid development. Firstly, according to the necessity of economic development background the development of private equity fund Chinese, reviewed the relevant research of domestic and foreign private equity funds, summarizes the domestic and foreign scholars on the development of private equity funds to the general research results, for the following This chapter is the theoretical foundation; secondly, analysis of the current situation of the development of Chinese private fund; again, analysis the existence and development of Chinese private equity fund issue, mainly registration information distortion, non-compliance to raise funds, the investment operation of illegal acts, company management is not standardized; fourth, the cause of the problem analysis Chinese private equity fund in the process of development include the abusive registration information, limited sources of funding, to avoid moral hazard. Finally, puts forward some countermeasures and suggestions to promote the development of China private equity funds, which accelerate the process of constructing the legal system, perfect relevant laws and regulations; improve self-discipline rules, improve the risk prevention and control ability; cultivate professional talents, improve industry access standards; appropriate to reduce the non supervision department.
