【摘要】：《中華人民共和國教育法》與《中華人民共和國民辦教育促進(jìn)法》的相繼頒布,使得法人制度被引入到了民辦學(xué)校的治理之中,為我國大力發(fā)展民辦教育提供了制度層面的保障。賦予民辦學(xué)校法人地位,不但能夠?qū)崿F(xiàn)民辦學(xué)校辦學(xué)自主權(quán)的保障,還可以通過民辦教育的教學(xué)水平的提升,進(jìn)一步促進(jìn)社會資本向教育事業(yè)的投入,實現(xiàn)國家文化軟實力的增強。但是,在實踐中對于民辦學(xué)校的法人屬性得劃定仍然缺少成體系化的理論作為支撐,即便民辦學(xué)校具備了法律及相關(guān)行政法規(guī)所要求的法人設(shè)立條件,也很難在現(xiàn)有《民法通則》所規(guī)定的法人分類中找出能夠相稱的一種,這也導(dǎo)致了民辦學(xué)校法人在學(xué)校治理結(jié)構(gòu)以及財產(chǎn)權(quán)上出現(xiàn)混亂,權(quán)責(zé)不明,危及民辦學(xué)校的法人獨立地位。法人在屬性上的劃定明確是建立和完善的法人治理制度的前提,也是實現(xiàn)民辦學(xué)校從自然人治理到法人治理的理論基礎(chǔ)。為此,本文試圖對民辦學(xué)校的法人屬性展開研究,以期能夠提出對我國民辦學(xué)校的法人制度有益的建議。本文將以我國目前立法的實際出發(fā),參照民法有關(guān)法人制度的研究和學(xué)說,從法理、立法實際等方面指出我國目前民辦學(xué)校在法人屬性劃定上的不足,分析其存在的原因,同時借鑒域外的相關(guān)立法經(jīng)驗,提出符合我國立法現(xiàn)狀和辦學(xué)實際的民辦學(xué)校法人屬性界定的構(gòu)想,并據(jù)此提出完善我國民辦學(xué)校的分類管理的建議設(shè)想,使我國民辦學(xué)校法人真正能夠有序地健康發(fā)展。
[Abstract]:"People's Republic of China Education Law" and "People's Republic of China Private Education Promotion Law" promulgated, the legal system is introduced to the governance of private schools, provide institutional guarantee for China's development of the private education. Given the legal status of private schools, private schools can not only realize the protection of the autonomy, but also through the private education teaching level, to further promote the social capital to the cause of education, enhance the national cultural soft power. However, in practice the legal attribute for private schools may be classified into still lacks systematic theory as a support, even if private schools have set up legal conditions of law and relevant administrative regulations required the legal classification is difficult in the existing civil law stipulated in the < > to find a match, which also led to the private The school in the school corporate governance structure and property rights confusion, unclear responsibilities, endanger the private schools of the independent status of legal person. The legal attribute is clearly delineated in the premise of the establishment and perfection of the corporate governance system, but also the realization of private schools from the basic theory of natural person governance to corporate governance. Therefore, this paper tries to research on the the legal attribute of private schools, in order to put on the legal system of private schools in China. This paper will beneficial suggestions to China's current legislative practice, and studies related with reference to the civil law legal system, from the legal aspects of the actual legislation, pointing out that China's current lack of private schools in legal property designated the analysis of the reasons for its existence, at the same time, learn from foreign legislative experience, put forward the idea of private schools in accordance with the status quo and the practice of corporate property legislation defined, On the basis of this, suggestions are put forward to improve the classification management of private schools in our country, so that the legal persons of private schools in our country can develop in a healthy and orderly way.
