中小企業(yè)商業(yè)秘密管理體系的構(gòu)建及運(yùn)行研究

【摘要】:中小企業(yè)日益成為我國(guó)現(xiàn)代經(jīng)濟(jì)的奠基石和名副其實(shí)的技術(shù)創(chuàng)新生力軍。在激烈的市場(chǎng)競(jìng)爭(zhēng)中,中小企業(yè)想要發(fā)展起來并維系其獨(dú)特的競(jìng)爭(zhēng)優(yōu)勢(shì),必須保護(hù)好自己的創(chuàng)新成果。而保護(hù)企業(yè)的創(chuàng)新成果離不開知識(shí)產(chǎn)權(quán)的支持,對(duì)于一些不能、不宜或者尚未決定是否通過著作權(quán)、專利權(quán)等知識(shí)產(chǎn)權(quán)形式保護(hù)的技術(shù)信息、經(jīng)營(yíng)信息,大多數(shù)企業(yè)會(huì)選擇將其作為商業(yè)秘密加以保護(hù)。本文首先介紹了中小企業(yè)的界定、商業(yè)秘密內(nèi)涵、泄密途徑和商業(yè)秘密管理的主要內(nèi)容。其次,結(jié)合中小企業(yè)創(chuàng)新特點(diǎn)及其商業(yè)秘密管理現(xiàn)狀,分析了中小企業(yè)商業(yè)秘密管理當(dāng)前比較突出的問題,比如對(duì)商業(yè)秘密認(rèn)識(shí)不清、保護(hù)意識(shí)比較薄弱、企業(yè)普遍缺乏系統(tǒng)、有效的商業(yè)秘密管理制度、對(duì)涉密人員缺乏有效的約束、缺乏合理的保密措施、缺乏商業(yè)秘密糾紛處理機(jī)制等,從中得出結(jié)論——完善商業(yè)秘密管理體系并保障其有效運(yùn)行,才是中小企業(yè)有效保護(hù)自己商業(yè)秘密的根本出路。然后在己有研究基礎(chǔ)之上,探索構(gòu)建中小企業(yè)商業(yè)秘密管理體系,提出了構(gòu)建商業(yè)秘密管理體系的原則,增強(qiáng)意識(shí)、保護(hù)權(quán)利、實(shí)現(xiàn)價(jià)值、防范風(fēng)險(xiǎn)的管理目標(biāo),適合不同類型中小企業(yè)的商業(yè)秘密管理模式,并闡述了相關(guān)管理制度的主要內(nèi)容。最后,提出了培育企業(yè)知識(shí)產(chǎn)權(quán)文化,依法制定和執(zhí)行商業(yè)秘密管理制度、建立商業(yè)秘密管理流程及制定商業(yè)秘密糾紛的應(yīng)急預(yù)案等有效保障中小企業(yè)商業(yè)秘密管理體系運(yùn)行的建議。
[Abstract]:Small and medium-sized enterprises are increasingly becoming the cornerstone of our modern economy and the new force of technological innovation. In the fierce market competition, small and medium-sized enterprises want to develop and maintain their unique competitive advantage. We must protect our own innovative achievements. And the protection of the innovative achievements of enterprises cannot be separated from the support of intellectual property rights. For technical information that cannot, is not appropriate or has not yet been decided whether to protect through intellectual property rights such as copyright, patent rights, etc., Management information, most enterprises will choose to protect it as trade secrets. Firstly, this paper introduces the definition of small and medium-sized enterprises, the connotation of trade secrets, the way of disclosure and the main content of trade secret management. Combined with the innovation characteristics of small and medium-sized enterprises and the present situation of business secret management, the paper analyzes the outstanding problems of small and medium-sized enterprises' trade secret management, such as unclear understanding of trade secret, weak consciousness of protection, and general lack of system in enterprises. The effective trade secret management system, the lack of effective restraint to the secret personnel, the lack of reasonable secrecy measures, the lack of trade secret dispute handling mechanism and so on, draw the conclusion from the conclusion-perfect the trade secret management system and guarantee its effective operation, etc. It is the fundamental way for SMEs to effectively protect their own trade secrets. Then, on the basis of their own research, this paper explores the construction of the management system of trade secrets of SMEs, puts forward the principles of constructing the management system of trade secrets, and strengthens their awareness. Protection of rights, realization of value, prevention of risk management objectives, suitable for different types of small and medium-sized enterprises business secret management model, and elaborated the main content of the relevant management system. Finally, proposed the cultivation of enterprise intellectual property culture, It is suggested to make and implement the management system of trade secret according to law, establish the flow of trade secret management and make the emergency plan of trade secret dispute, and so on, which can effectively ensure the operation of business secret management system of small and medium-sized enterprises.
