【摘要】：商業(yè)秘密，，是指不為公眾所知悉、能為權(quán)利人帶來(lái)經(jīng)濟(jì)利益，具有實(shí)用性并經(jīng)權(quán)利人采取保密措施的技術(shù)信息、經(jīng)營(yíng)信息以及其他應(yīng)受保護(hù)的秘密信息。世界發(fā)達(dá)國(guó)家均非常重視對(duì)商業(yè)秘密的立法保護(hù)，并形成了以美國(guó)和德國(guó)為代表的兩種各具特色的保護(hù)模式。我國(guó)雖已初步建立起一個(gè)商業(yè)秘密法律保護(hù)體系，但是距離世界先進(jìn)水平及經(jīng)濟(jì)發(fā)展的需求仍有不小差距。在涉及商業(yè)秘密保護(hù)的理論研究和實(shí)踐過(guò)程中，運(yùn)用何種理論保護(hù)商業(yè)秘密，如何認(rèn)定其法律屬性等問(wèn)題一直存在著爭(zhēng)議。 本文通過(guò)介紹世界發(fā)達(dá)國(guó)家及我國(guó)的商業(yè)秘密法律保護(hù)概況，找出我國(guó)在法律保護(hù)上存在的不足，分析商業(yè)秘密保護(hù)的理論基礎(chǔ)及商業(yè)秘密權(quán)的法律屬性，試圖提出對(duì)商業(yè)秘密進(jìn)行知識(shí)產(chǎn)權(quán)保護(hù)的一些構(gòu)想。筆者認(rèn)為，對(duì)比于合同法理論和侵權(quán)法理論，知識(shí)產(chǎn)權(quán)法理論有著得天獨(dú)厚的優(yōu)勢(shì)，能夠給商業(yè)秘密提供更加完備的保護(hù)。商業(yè)秘密權(quán)是一種無(wú)形的財(cái)產(chǎn)權(quán)，它具備了傳統(tǒng)知識(shí)產(chǎn)權(quán)的基本特征，應(yīng)該將其納入知識(shí)產(chǎn)權(quán)的保護(hù)體系，但在立法過(guò)程中要注意對(duì)商業(yè)秘密侵權(quán)行為的例外情形進(jìn)行規(guī)定，以對(duì)商業(yè)秘密權(quán)進(jìn)行合理的限制。商業(yè)秘密專門立法可以全面、系統(tǒng)地對(duì)商業(yè)秘密的概念、范圍、權(quán)屬及救濟(jì)途徑等問(wèn)題進(jìn)行規(guī)定，是最為有效的商業(yè)秘密保護(hù)途徑。同時(shí)，單純一部法律無(wú)法對(duì)商業(yè)秘密開(kāi)展全方位的保護(hù)，必須同時(shí)配套其他法律規(guī)定，才能真正構(gòu)建一個(gè)完整穩(wěn)固的商業(yè)秘密保護(hù)體系。
[Abstract]:Trade secret refers to the technical information, business information and other confidential information which are not known to the public, can bring economic benefits to the obligee, and have practical and confidential measures taken by the obligee. The developed countries in the world attach great importance to the legislative protection of trade secrets, and have formed two unique protection modes, represented by the United States and Germany. Although China has initially established a legal protection system for trade secrets, it is still far from the advanced level of the world and the needs of economic development. In the course of theoretical research and practice concerning the protection of trade secrets, there have always been controversies about what theory is used to protect trade secrets and how to identify their legal attributes. By introducing the general situation of legal protection of trade secrets in developed countries and China, this paper finds out the shortcomings of legal protection in our country, analyzes the theoretical basis of the protection of trade secrets and the legal attributes of the right to trade secrets. This paper tries to put forward some ideas about intellectual property protection of trade secrets. The author believes that, compared with the theory of contract law and the theory of tort law, the theory of intellectual property law has unique advantages and can provide more complete protection for trade secrets. Trade secret right is a kind of intangible property right, it has the basic characteristics of traditional intellectual property, it should be brought into the protection system of intellectual property right, but in the process of legislation, we should pay attention to the exception of trade secret infringement. To carry on reasonable restriction to the right of trade secret. It is the most effective way to protect trade secret that the special legislation of trade secret can comprehensively and systematically regulate the concept, scope, ownership and remedy way of trade secret. At the same time, only a single law can not carry out all-round protection of trade secrets, must be accompanied by other laws and regulations, in order to truly build a complete and stable business secret protection system.
